  • Primary Purpose of Position

    The Chief Legal Officer oversees all legal activities for Osiris Therapeutics, Inc. This executive leader is responsible to ensure Osiris is compliant with all applicable laws specific to the life sciences/biotechnology industry, employment, and business process laws. The CLO also collaborates with other members of Osiris’ Executive Leadership on legal matters. This position reports the Chief Executive Officer.

    Principal Responsibilities

    RESPONSIBILITIES:

    Responsibilities and duties include, but are not limited to, the following:

    • Serves as a member of the Osiris’ Executive Leadership Team. Develops and maintains an expert level of knowledge regarding products, services, and operations of Osiris to achieve optimal insight into the Osiris’ products, services, capabilities, support, and functionality requirements.
    • Oversees and assumes ultimate responsibility for all legal, compliance, and privacy affairs of Osiris and its subsidiary(ies), including, without limitation to, the following:
      • General corporate and securities matters and corporate governance matters;
      • Employment matters;
      • Intellectual property matters;
      • Regulatory compliance and policy affairs;
      • Capital and equity matters;
      • Board of Directors matters;
      • Legal and compliance risk management; assist Executive Leadership Team with enterprise risk management;
      • Litigation and dispute resolutions;
      • Internal and external compliance resources;
      • Legal and compliance budget; and
      • Corporate development and strategic initiatives, such as mergers and acquisitions and the like.
    • Manages and assumes ultimate responsibility for the resolution of client legal questions, concerns, and service issues related to the Company and its client products and services.
    • Supports contracting requirements required for business development processes as may be required for successful product launches and ongoing product growth and operations.
    • Develops and oversees the ongoing successful execution of compliance policies and procedures for the Company and its subsidiary(ies).
    • Manages relationships with outside counsel and any matters for which they are retained in a fashion that is appropriately conscientious of the associated expenses.
    • Stays current with applicable laws and regulations affecting Osiris, its subsidiary(ies), and their respective businesses.
    • Assists in liaising with the Company’s shareholders, potential investors, investment banks, strategic investors, and lenders with respect to legal matters.
    • Maintains comprehensive communication with the Company’s management and appropriate internal personnel, vendors, and clients regarding timelines, readiness, needs, risks, cost implications, resource requirements, and all other material aspects related to legal affairs.
    • Serves as the Company’s Corporate Secretary and supports the Board of Directors as such.
    • Serves as the Company’s Chief Compliance Officer and Chief Privacy Officer and the responsibilities implicated thereby, or appropriately delegates those functions. If delegated to personnel other than Executive, Executive will provide the appropriate oversight.
    • Establishes and maintains a process and schedule to keep the CEO and Chairman of the Company current on all material legal, liability exposure, risk management, and other such matters related to the responsibilities of Executive.
    • Promotes the Company’s values and participate with the Company leadership in the strategic development of initiatives to identify enhancements which may improve products, services, operations, client appeal, process flow, and overall business function, industry reputation, and financial performance.
    • Adheres to all confidentiality and HIPAA requirements as outlined within the Company’s Operating Policies and Procedures in all ways and at all times with respect to any aspect of the data handled or services rendered in the scope of work.
    • Fulfills any other responsibilities and/or duties that may be reasonably requested by the CEO for the purpose of achieving operational and financial success.

    Qualifications

    QUALIFICATIONS:

    Required

    •  J.D. degree from an accredited law school.
    •  Ten years of experience with demonstrated progressively more responsible practical experience in as many of the following substantive areas of the law as possible: contracts, civil procedure, litigation, risk management, employment, bankruptcy, debtor/creditor rights, collections, intellectual property, technology, administrative procedure, alternative dispute resolution, negotiations, privacy and information security, truth-in-lending, consumer lending and finance; or the equivalent in skills, knowledge and abilities.
    • Heavy experience in a publicly traded company with proficiency in SEC regulations and filings.
    • Combination of strong management and leadership skills and solid technical expertise.
    •  Ability to be diplomatic but assertive in articulating points of view related to legal and compliance functions.
    • Demonstrated independence and objectivity; executive-level interpersonal skills; management and leadership skills; political savvy; sound judgment personal strength; personal independence; integrity; flexibility.

    •  Ability to monitor workflow, communicate goals, and provide opportunities for professional development to direct reports.
    • Demonstrated ability to take a broad view of the environment to identify opportunities.
    • Demonstrated ability to understand business strategy as well as experience integrating research objectives into an overall business or corporate function strategy. Ability to manage and prioritize multiple projects.
    • Proficiency in Microsoft Office.

     

    Preferred

    • Experience in the life sciences practice of an AmLaw 100 law firm.
    • In-house experience in the broader life sciences industry.
    • Membership to the Maryland Bar
